Russel seeks permit for process in jail

Controversial e-commerce portal Evaly's former chairman Shamima Narsin transfers her 50-per cent share in the company in favour of her mother Farida Talukder and her brother-in-law Mamunur Rashid.
Ms Shamima, the owner of 0.6-million shares, has completed the transfer process upon her release from jail on April 06 this year.
She cited this in a plea placed in the High Court for adding her as a party of a case seeking HC directives to wind up Evaly and distribute net asset cash funds among creditors as per their present credit ratio.
After hearing, the HC bench of Justice Muhammad Khurshid Alam Sarkar allowed Ms Shamima to be a party of the case.
The court, however, did not pass any order over another application filed by ex-CEO Mohammad Russel seeking a directive upon the Registrar of Joint Stock Companies and Firms to execute registration of the transfer of his shares in Dhaka Central Jail.
Mr Russel seeks to transfer his 0.2-million (50 per cent) shares in favour of his father-in-law Rafiqul Alam Talukder.
On February 17, the same bench allowed Ms Shamima and Mr Russel to transfer 50 per cent of their shares to three family members for running the company.
The trio are Ms Shamima's father Rafiqul Alam Talukder, her mother Farida and her sister's husband Mamun.
Although Ms Shamima was able to transfer her shares after getting bail, his husband Russel was unable to do so due to some legal obligations.
The law mandates that the transferor must be present in the office of the Registrar of Joint Stock Companies and Firms for effective registration of share transfer.
As Mr Russel is now in custody, he filed the application with the HC seeking its directive upon the RJSC to execute registration of his shares on commission in jail.
Following a client's petition, the court on 22 September 2021 directed the bodies concerned to be restrained from selling, transferring or otherwise disposing of the assets until the disposal of the case.
Later, the court on October 18 formed a five-member body to oversee the overall management and company affairs of Evaly Limited.
It appointed former Supreme Court judge Shamsuddin Chowdhury Manik as the chairman of Evaly and additional secretary Mahbub Kabir Milon as the ex-officio managing director.
Barrister Shamim Ahmed Mehedi appeared in the court on behalf of the couple while barrister Syed Mahsib Hossain represented the customers.
